Acceptable Use Policy

Clinical Intelligence Platform

Version 1.0 · Effective September 25, 2026 · Version history

This Acceptable Use Policy states how the Clinical Intelligence Platform (“Platform”) may and may not be used. It is incorporated by reference into Customer agreements that reference it (“Agreement”). Customer is responsible for its Authorized Users’ compliance with this Acceptable Use Policy.

1. Permitted Use

Subject to the Agreement, Customer may access and use the Platform through its Authorized Users for Customer’s internal clinical and business purposes. Authorized User limits, if any, are stated in the applicable Order Form.

2. Restrictions

Neither Customer nor its Authorized Users will, directly or indirectly:

(a) copy, modify, or create derivative works of the Platform;

(b) rent, lease, sell, sublicense, distribute, or otherwise transfer the Platform except as expressly permitted;

(c) reverse engineer, decompile, or attempt to access the Platform’s source code or underlying models;

(d) remove or obscure any proprietary notice;

(e) use the Platform to infringe any right of any person or to violate any law;

(f) access or use the Platform outside the United States;

(g) share, transfer, or provide access to credentials issued to one individual to any other person;

(h) upload or transmit any file, software, or link containing a virus, worm, or other harmful component;

(i) attempt to defeat, bypass, or circumvent any security, monitoring, or access control mechanism; or

(j) use the Platform beyond the scope of the license granted in the applicable agreement.

3. Customer Responsibilities

(a) Customer will keep credentials confidential and monitor activity conducted through Customer’s accounts.

(b) Customer will promptly notify Scribe-X of any suspected unauthorized activity, credential loss, or security incident.

(c) Customer will ensure that documentation produced through the Platform is reviewed and signed by a Healthcare Provider before any clinical, billing, coding, or other use.

(d) Customer will provide any patient notice and obtain any consent or authorization applicable law requires in connection with encounter capture.

(e) Customer will not initiate an encounter capture session for a patient encounter for which required consent has not been obtained. Scribe-X has no means to act on a revocation of authorization mid-encounter, and information already captured in a session is not separately removed on revocation.

4. Suspension

Scribe-X may temporarily suspend access when necessary to protect the Platform, customer data, or other customers. Grounds for suspension include:

(a) a security threat to the Platform or to Scribe-X property;

(b) use that disrupts or poses a security risk to the Platform, another customer, or a vendor;

(c) use of the Platform for fraudulent or illegal activity;

(d) Customer ceasing business, becoming insolvent, or becoming subject to bankruptcy or similar proceedings;

(e) a legal prohibition on Scribe-X providing the Platform; or

(f) a Scribe-X vendor suspending access to third-party services needed to provide the Platform.

Scribe-X will use commercially reasonable efforts to notify Customer of a suspension and to restore access promptly once the underlying issue is resolved. Suspension for nonpayment is governed by the Agreement rather than this Acceptable Use Policy.

5. Changes to This Acceptable Use Policy

Scribe-X may update this Acceptable Use Policy with prior written notice to Customer. No update will materially reduce the protections or service scope applicable to Customer during a committed term. If an update materially and adversely affects Customer, Customer may request a revision as it applies to Customer, either as a reversion to a prior version acceptable to Customer or as an adjustment to Customer-specific policy language requirements, and Scribe-X will consider each request on a case-by-case basis.
