1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of the websites operated by Scribe-X, LLC ("Scribe-X," "we," "us"), including scribe-x.com and its subdomains (the "Sites"). By accessing the Sites, you agree to these Terms. If you do not agree, do not use the Sites.

Use of the Scribe-X Clinical Intelligence Platform and related services by client organizations is governed by the master services agreement and Business Associate Agreement executed with that organization. If there is a conflict between those agreements and these Terms, those agreements control for platform use.

2. The Sites and their content

The Sites describe Scribe-X products and services, publish results and educational content, and let you contact us, take assessments such as the Documentation Health Score, and schedule meetings. Content on the Sites is provided for general informational purposes.

The Sites and their content do not constitute medical advice, legal advice, coding or billing advice, or a guarantee of results. Outcome figures published on the Sites are drawn from Scribe-X client data and attach to the solution described; individual results vary by organization, provider, and configuration.

3. Intellectual property

The Sites and their contents, including text, graphics, logos, product names (including Scribe-X, the Clinical Intelligence Platform, Solo, Assist, and Live), page designs, and software, are owned by Scribe-X or its licensors and are protected by intellectual property laws. You may view and share Site content for evaluation of our services; you may not copy, modify, republish, or create derivative works from the Sites for commercial purposes without our written permission.

Third-party names and logos appearing on the Sites, including customer organizations, are the property of their respective owners and are used with permission or as factual references.

4. Acceptable use

You agree not to misuse the Sites, including by: attempting to gain unauthorized access to systems or data; interfering with the operation or security of the Sites; scraping or harvesting content or personal information at scale; submitting false or misleading information through our forms; uploading malicious code; or using the Sites in violation of applicable law.

5. Submissions and scheduling

Information you submit through the Sites, including assessment answers, contact forms, and meeting bookings, is handled under our Privacy Policy. Meeting scheduling is provided through a third-party provider (HubSpot); your use of that scheduling tool is also subject to that provider's terms.

Do not submit protected health information (PHI) or other patient-identifiable information through the Sites. PHI is handled only within the platform under an executed BAA.

6. Third-party links and services

The Sites may link to third-party websites and embed third-party services. We do not control and are not responsible for third-party content, policies, or practices.

7. Disclaimers

The Sites are provided "as is" and "as available." To the fullest extent permitted by law, Scribe-X disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, regarding the Sites and their content. We do not warrant that the Sites will be uninterrupted, error-free, or free of harmful components.

8. Limitation of liability

To the fullest extent permitted by law, Scribe-X and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Sites. Our total liability for claims relating to the Sites will not exceed one hundred US dollars ($100). Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold Scribe-X harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Sites or violation of these Terms.

10. Governing law and disputes

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Sites will be brought exclusively in the state or federal courts located in Multnomah County, Oregon, and you consent to their jurisdiction.

11. Changes to these terms

We may update these Terms from time to time. The updated version will be indicated by an updated date at the top of this page, and continued use of the Sites after changes take effect constitutes acceptance of the revised Terms.
